End User License Agreement (EULA) for SPA IMPORTER

IMPORTANT: READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE.

This End User License Agreement («EULA») is a legal agreement between you (either an individual or a single entity) and Bit24 for the SPA IMPORTER software product, including any associated media, printed materials, and online or electronic documentation («Software»). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. GRANT OF LICENSE

Bit24 grants you a non-exclusive, non-transferable license to use the Software under the following conditions:

Installation and Use: You may install and use the Software on your devices. Backup Copies: You may make copies of the Software for backup and archival purposes only. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

Distribution: You may not distribute copies of the Software to third parties. Prohibition on Reverse Engineering, Decompilation, and Disassembly: You may not reverse engineer, decompile, or disassemble the Software. Rental: You may not rent, lease, or lend the Software. 3. OWNERSHIP

The Software is owned by Bit24 and is protected by copyright laws and international treaty provisions. Therefore, you must treat the Software like any other copyrighted material.

4. UPDATES

Bit24 may provide updates to the Software automatically. These updates may be necessary to maintain compatibility with other software or hardware or to improve the Software’s functionality.

5. TERMINATION

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Bit24 if you fail to comply with any term(s) of this EULA. Bit24 reserves the right to terminate this agreement at any time. Upon termination, you must destroy all copies of the Software.

6. DISCLAIMER OF WARRANTIES

The Software is provided «AS IS» without warranty of any kind. Bit24 expressly disclaims all warranties, whether express, implied, or statutory, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

7. LIMITATION OF LIABILITY

In no event shall Bit24 be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of or in any way related to the use of or inability to use the Software.

8. GOVERNING LAW

This EULA will be governed by the laws of Andorra without regard to its conflict of laws principles. Any dispute arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in Andorra.
